These Terms of Service ("Terms") govern your use of the services provided by RunPractice ("we," "us," "our"). By engaging our services, you ("Client," "you") agree to be bound by these Terms. If you do not agree, do not use our services.
1. Service Description
RunPractice provides AI-powered marketing and practice automation services for physician-owned medical practices. Services may include, but are not limited to:
- Website design, development, and maintenance
- Search engine optimization and blog content
- Google PPC advertising management
- Social media content creation and management
- Email marketing and patient nurture automation
- Lead capture and routing systems
- AI phone receptionist setup and management
- Outbound appointment confirmation calls
- In-clinic automation (check-in, forms, AI notes)
- Central knowledge system ("The Brain") creation and maintenance
The specific services provided to each Client are defined by the selected plan tier (Starter, Growth, or Full Stack) and any additional a la carte services agreed upon in writing.
2. Service Plans and Commitment
All plans require a minimum commitment of three (3) months. This minimum term begins on the date your automation stack goes live (not the date of signing).
Plan tiers and pricing are published on our pricing page. RunPractice reserves the right to update pricing with 30 days written notice. Price changes do not apply to active commitments within their minimum term.
3. Payment Terms
- Setup fees are due upon signing, before work begins
- Monthly fees are billed in advance on the first business day of each calendar month
- A la carte services are billed according to their individual terms as agreed in writing
- Late payments — invoices unpaid after 15 days may result in service suspension. A 1.5% monthly late fee applies to overdue balances
- Payment methods — we accept ACH, wire transfer, and major credit cards
All fees are non-refundable except as explicitly stated in these Terms.
4. Client Responsibilities
To enable effective service delivery, the Client agrees to:
- Provide timely access to practice information, accounts, and assets needed for onboarding
- Designate a single point of contact authorized to make decisions on behalf of the practice
- Review and approve deliverables within reasonable timeframes (typically 5 business days)
- Ensure that all information provided to RunPractice is accurate and current
- Comply with all applicable laws and regulations, including HIPAA where applicable
5. Ownership of Assets
The Client owns all assets, content, and data produced by RunPractice during the engagement. This includes:
- Website code, design, and content
- Blog posts and written content
- Social media content and creative assets
- Email templates and automation sequences
- The Brain knowledge document
- All lead data and patient contact information
- Ad accounts, analytics accounts, and domain registrations
Upon termination, all assets will be transferred to the Client or their designated representative within 30 days.
6. Case Studies and Portfolio
RunPractice retains the right to display work produced for the Client as a case study or portfolio piece on our website and marketing materials. Case studies will not include PHI, patient data, or confidential financial information.
Clients may opt out of case study inclusion at any time by providing written notice to hello@runpractice.ai. We will remove any existing case study material within 14 days of receiving an opt-out request.
7. Termination
During minimum term
Either party may terminate for material breach with 14 days written notice if the breach is not cured within that period. Early termination by the Client without cause during the minimum term requires payment of the remaining monthly fees through the end of the minimum term.
After minimum term
Either party may terminate with 30 days written notice after the minimum three-month commitment has been fulfilled. The service will continue through the end of the current billing period.
Upon termination
RunPractice will:
- Transfer all Client-owned assets within 30 days
- Provide access credentials and documentation needed for transition
- Delete or return any PHI in accordance with the BAA (if applicable)
- Issue a final invoice for any outstanding balances
8. Limitation of Liability
To the maximum extent permitted by law:
- RunPractice's total liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by the Client in the three (3) months preceding the claim
- RunPractice shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data
- RunPractice does not guarantee specific business outcomes, including patient volume, revenue, or return on investment. Performance metrics shared in marketing materials represent historical results and are not guarantees of future performance
9. Indemnification
The Client agrees to indemnify and hold harmless RunPractice from any claims, damages, or expenses arising from: (a) the Client's breach of these Terms, (b) the Client's violation of any law or regulation, or (c) any content or data provided by the Client that infringes on third-party rights.
10. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business processes, pricing strategies, patient data, and technical systems. Confidentiality obligations survive termination of the agreement for a period of two (2) years.
11. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New York County, New York.
12. Changes to These Terms
RunPractice may update these Terms from time to time. Material changes will be communicated to active Clients via email at least 30 days before taking effect. Continued use of our services after changes constitutes acceptance of the revised Terms.
